Terms and Conditions

1Who we are
DockShala is a multi-tenant digital menu and restaurant operations platform for cafés, restaurants, and similar food businesses. The Service is provided under the DockShala brand at dockshala.com and related subdomains (for example, your-restaurant.dockshala.com).

2Eligibility and accounts
- You must be at least 18 years old and legally able to enter a contract on behalf of your business.
- Restaurant admin and staff accounts are issued for your business only. You are responsible for keeping login credentials confidential.
- You must provide accurate business information during onboarding and keep it reasonably up to date.
- You are responsible for all activity that occurs under your restaurant’s accounts (admin and staff).
- We may suspend or terminate access if we reasonably believe credentials have been shared improperly, abused, or used for unlawful purposes.
3Description of the Service
Depending on your plan and configuration, DockShala may include:
- Digital menu — public mobile-friendly menus accessed via QR code or link, without requiring diners to install an app.
- Table ordering — optional live ordering from tables, shared carts, kitchen/order board, and bill settlement workflows.
- Admin tools — menu editor, branding, gallery, tables/QR management, staff accounts, settings, and related controls.
- Inventory & insights — stock, purchases, and operational reporting features where enabled for your account.
- Onboarding support — setup assistance such as menu loading and go-live support, as agreed at the time of signup.
Features may vary by restaurant, plan, or regional availability. We may improve, add, or modify features; material reductions that affect paid commitments will be communicated reasonably in advance where practicable.
4Your responsibilities (restaurant / merchant)
- You are solely responsible for menu content, prices, taxes, discounts, allergens, dietary labels (e.g. veg/non-veg), availability, and any claims made to diners.
- You must ensure your use of the Service complies with applicable laws, including food safety, consumer protection, GST/tax display rules, and local licensing.
- You are responsible for fulfilling orders, handling customer complaints, refunds for food/service, and in-store payments between you and your diners.
- You must not upload illegal, infringing, defamatory, or harmful content (including images or text you do not have rights to use).
- You must not attempt to reverse engineer, overload, scrape, or disrupt the Platform, or access another restaurant’s data.
- Staff actions (order edits, settlements, inventory changes) are treated as authorised by your business.
5Diners and end users
Diners who scan a QR code or open a restaurant menu are end users of that restaurant’s public experience. DockShala provides the technology layer; the restaurant is the merchant of record for food, service, pricing, and guest issues. Diners should resolve order, quality, or refund disputes with the restaurant where they dined, unless the issue is purely technical (e.g. menu not loading).
6Fees, billing, and plans
- Pricing, setup fees, subscription fees (if any), and inclusions are as communicated at onboarding, on our website, or in a written/WhatsApp commercial agreement.
- Unless stated otherwise in writing, fees are non-transferable between restaurants or legal entities.
- We may change pricing for renewals or new signups with reasonable notice. Existing prepaid periods will not be reduced mid-term without mutual agreement, except where required by law or platform necessity.
- Failure to pay agreed fees may result in suspension of admin access, ordering features, or the public menu until dues are cleared.
Refunds of fees paid to DockShala are governed by our Refund Policy.
7Intellectual property
- Platform IP: DockShala’s software, design, branding, logos, and documentation remain our property (or our licensors’).
- Your content: You retain ownership of your menu text, logos, dish photos, and business data you upload. You grant us a limited licence to host, process, display, and back up that content solely to provide and improve the Service.
- You may not copy, resell, or white-label the Platform without our prior written consent.
8Acceptable use
You agree not to use the Service to:
- Violate any law or third-party rights;
- Transmit malware, spam, or abusive traffic;
- Misrepresent your identity or business;
- Interfere with other tenants’ data or security;
- Use automated means to extract data at scale without permission;
- Operate the Service for high-risk or prohibited categories we reasonably refuse (we may refuse or terminate such accounts).
9Availability, support, and changes
- We aim for high availability but do not guarantee uninterrupted or error-free operation. Maintenance, third-party outages (hosting, database, network), or force majeure may affect access.
- Support is typically provided via WhatsApp or other channels we designate during business hours in India, unless a separate SLA is agreed in writing.
- We may update the Service, security measures, and these Terms. Continued use after updates constitutes acceptance of the revised Terms, except where consent is required by law.
10Data and privacy
Our collection and use of personal data is described in our Privacy Policy. You agree to use diner and staff data only for legitimate restaurant operations and in compliance with applicable privacy laws. You must not use DockShala to unlawfully collect or sell personal data.
11Third-party services
The Service may rely on third parties (e.g. cloud hosting, databases, image storage, messaging, printers/browser APIs). Those services have their own terms. We are not responsible for failures solely attributable to third parties beyond our reasonable control, though we will take commercially reasonable steps to restore Service.
12Disclaimers
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET ALL OF YOUR OPERATIONAL REQUIREMENTS OR THAT MENU/ORDER DATA WILL BE FREE FROM USER ERROR.
DockShala is a software platform. We do not prepare food, employ your staff, collect diner payments on your behalf (unless a specific payments product is later offered and accepted), or guarantee restaurant revenue.
13Limitation of liability
- To the maximum extent permitted by law, DockShala and its operators shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.
- Our total aggregate liability arising out of or related to the Service in any twelve-month period shall not exceed the fees you paid us for the Service in that period (or, if none, INR 5,000).
- Nothing in these Terms excludes liability that cannot be excluded under applicable law (e.g. fraud or certain statutory rights).
14Indemnity
You agree to indemnify and hold harmless DockShala and its operators from claims, losses, and expenses (including reasonable legal fees) arising from: (a) your menu, pricing, or business practices; (b) your content; (c) your breach of these Terms; or (d) disputes between you and your diners or staff.
15Suspension and termination
- You may stop using the Service at any time. To close an account, contact us via WhatsApp or support channels.
- We may suspend or terminate access for non-payment, breach of these Terms, legal risk, or prolonged inactivity, with notice where reasonable.
- Upon termination, your public menu and admin access may be disabled. We may retain limited data as required for legal, security, or backup purposes as described in the Privacy Policy.
- Export of your menu or operational data may be available on request for a reasonable period after termination, subject to technical feasibility and outstanding dues.
16Governing law and disputes
These Terms are governed by the laws of India. Courts in India (preferentially the competent courts at the place of our primary operations, or as otherwise required by law) shall have exclusive jurisdiction, subject to mandatory consumer protections that may apply to eligible users.
Before formal proceedings, parties should attempt good-faith resolution via WhatsApp/support within 15 days of written notice of dispute.
17General
- If any provision is held unenforceable, the remainder stays in effect.
- Failure to enforce a right is not a waiver.
- These Terms, together with the Privacy Policy, Refund Policy, and any written commercial agreement, form the entire agreement regarding the Service.
- You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or reorganisation.
